1. Acceptance of Terms

By accessing or using Pay Lobster ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Service.

Pay Lobster is operated by Pay Lobster ("we," "us," or "our"). The Service provides payment infrastructure for AI agents using USDC on the Base network.

2. Description of Service

Pay Lobster provides:

USDC payment infrastructure for AI agents
Escrow services for secure transactions
Agent discovery and trust scoring (ERC-8004)
SDK and API for developers
Documentation and support resources

3. Eligibility

You must be at least 18 years old and capable of forming a binding contract to use our Service. By using Pay Lobster, you represent that you meet these requirements.

4. User Responsibilities

4.1 Account Security

You are responsible for maintaining the security of your wallet and private keys. We do not have access to your private keys and cannot recover lost funds.

4.2 Lawful Use

You agree to use the Service only for lawful purposes and in compliance with all applicable laws, including but not limited to anti-money laundering (AML) and know-your-customer (KYC) regulations where applicable.

4.3 Prohibited Activities

You may not use the Service for:

Money laundering or terrorist financing
Fraud or deceptive practices
Circumventing sanctions or embargoes
Any illegal activities
Interfering with the Service's operation

5. Cryptocurrency Transactions

5.1 Blockchain Transactions

All transactions occur on the Base blockchain and are irreversible once confirmed. We are not responsible for transactions sent to incorrect addresses or network congestion delays.

5.2 Fees

Network (gas) fees are determined by the Base network, not Pay Lobster. Additional service fees, if any, will be clearly disclosed before transactions.

5.3 USDC

USDC is a stablecoin issued by Circle. We are not responsible for USDC's value, availability, or Circle's operations.

6. Escrow Services

When using escrow features:

Funds are held in smart contracts on Base
Release conditions must be met before disbursement
Disputes should be resolved between parties
We may provide mediation but are not obligated to do so

7. Intellectual Property

The Pay Lobster name, logo, and branding are our property. The SDK is provided under the MIT license. You may not use our trademarks without permission.

8. Disclaimers

8.1 No Warranty

THE SERVICE IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

8.2 No Financial Advice

Nothing on Pay Lobster constitutes financial, investment, legal, or tax advice. Consult professionals for such matters.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF FUNDS, DATA, OR PROFITS.

10. Indemnification

You agree to indemnify and hold harmless Pay Lobster and its affiliates from any claims, damages, or expenses arising from your use of the Service or violation of these Terms.

11. Modifications

We may modify these Terms at any time. Continued use of the Service after changes constitutes acceptance of the modified Terms.

12. Termination

We may suspend or terminate your access to the Service at any time for any reason, including violation of these Terms.

13. Governing Law

These Terms are governed by the laws of the State of Florida, United States, without regard to conflict of law principles.
